Commercial Terms for Wholesale & Retail Buyers
These Terms & Conditions govern all transactions between FurnitureWorld.in (the Seller) and buyers (wholesale or retail). By placing an order on our platform, buyers confirm their acceptance of these terms. These terms apply unless superseded by a written agreement executed by authorized representatives of both parties.

1. Ordering & Minimum Order Quantities (MOQs)
All orders must comply with the applicable Minimum Order Quantity for the selected product and category. MOQs are clearly stated in product listings and formal quotations. Orders not meeting the MOQ may be declined or subject to additional handling charges. Custom MOQ arrangements can be negotiated for ongoing supply relationships through written agreement.

2. Pricing, Quotations & Payment
All prices are quoted exclusive of applicable taxes, freight charges, and handling fees unless explicitly stated otherwise. Quotation validity periods are specified in each quotation document, typically 7 to 15 days. New buyers generally require advance payment or a deposit before order processing. Established buyers with verified payment history may qualify for credit facilities.

3. Delivery & Risk Transfer
Goods are dispatched within agreed lead times confirmed at order placement. Risk of loss or damage transfers to the buyer upon handover to the designated carrier. Delays caused by force majeure events — including natural disasters, transportation disruptions, or government restrictions — are communicated proactively and are not subject to penalty.

4. Inspection, Claims & Returns
Buyers must inspect all goods upon receipt and report claims for damage, quality defects, or quantity shortages within 7 calendar days of delivery. Claims must be submitted with photographic evidence and batch identification details. Remediation options include replacement, credit adjustment, or refund based on verified findings.

5. Limitation of Liability
FurnitureWorld.in's liability for any claim is limited to the invoice value of the specifically affected goods. We are not liable for indirect, consequential, or punitive damages including lost profits or business interruption, except as mandated by applicable law.

6. Governing Law & Dispute Resolution
These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India. Parties are encouraged to pursue amicable resolution through good-faith negotiation before initiating formal legal proceedings.
